End User License Agreement
Effective Date: March 31, 2026
This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Golden Sky Management LLC, an Indiana limited liability company and subsidiary of Golden Sky Holdings LLC ("Company," "we," "us," or "our"), governing your use of the GSM Financial Digest application and any related software, tools, or services (collectively, the "Application") that connect to or integrate with Intuit QuickBooks Online via the Intuit Developer Platform.
By accessing or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Application.
1. License Grant
Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the internal business purposes of entities managed or operated by Golden Sky Management LLC and its parent and affiliated entities, including Golden Sky Holdings LLC, Framework Construction LLC, Forerunner Capital LLC, and Rentovation LLC (collectively, "Golden Sky Entities").
2. Scope of Use
The Application is designed to access financial data from QuickBooks Online via the Intuit QuickBooks Online Accounting API for the purpose of generating financial reports, performing data transformations, and delivering reporting digests. The Application is authorized for use exclusively by employees, contractors, and authorized agents of the Golden Sky Entities.
3. Restrictions
You agree not to:
(a) Copy, modify, distribute, sell, lease, sublicense, or otherwise transfer the Application or any portion thereof to any third party;
(b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application, except to the extent permitted by applicable law;
(c) Use the Application for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
(d) Use the Application to access, store, or process data from any QuickBooks Online company file for which you are not an authorized user;
(e) Remove, alter, or obscure any proprietary notices, labels, or marks on the Application;
(f) Use the Application in any manner that could damage, disable, or impair the Intuit QuickBooks Online platform or interfere with any other party's use thereof.
4. QuickBooks Online Integration
The Application accesses QuickBooks Online data through the Intuit Developer Platform using OAuth 2.0 authentication. By using the Application, you acknowledge and agree that:
(a) Your use of QuickBooks Online is governed separately by Intuit's Terms of Service;
(b) The Company is not responsible for the availability, accuracy, or functionality of the QuickBooks Online platform or the Intuit Developer API;
(c) You are responsible for maintaining valid QuickBooks Online credentials and for authorizing the Application to access your QuickBooks Online company data;
(d) The Company may access, retrieve, and process your QuickBooks Online financial data solely for the purposes described in Section 2 of this Agreement;
(e) The Application does not store QuickBooks Online credentials. Authentication tokens are managed in accordance with Intuit's OAuth 2.0 security requirements and are stored securely using encrypted environment variables or secrets management services.
5. Data Handling and Privacy
The Company takes the security and privacy of your financial data seriously. In connection with the Application:
(a) Financial data retrieved from QuickBooks Online is used exclusively for generating reports and analytics for the Golden Sky Entities;
(b) Data is processed in transit and is not permanently stored outside of the reporting outputs and logs necessary for operational purposes;
(c) The Company does not sell, share, or disclose your QuickBooks Online financial data to any third party, except as required by law;
(d) Access to financial data through the Application is restricted to authorized personnel of the Golden Sky Entities;

6. Intellectual Property
The Application and all related intellectual property rights are and shall remain the exclusive property of Golden Sky Management LLC and its parent entity, Golden Sky Holdings LLC. This Agreement does not grant you any ownership interest in the Application, and all rights not expressly granted herein are reserved by the Company.
7. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY FINANCIAL DATA RETRIEVED FROM QUICKBOOKS ONLINE OR ANY REPORTS GENERATED BY THE APPLICATION. YOU ACKNOWLEDGE THAT ALL FINANCIAL DATA AND REPORTS SHOULD BE INDEPENDENTLY VERIFIED BEFORE RELIANCE FOR ANY BUSINESS, TAX, OR LEGAL PURPOSE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its members, managers, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Application; (b) your breach of this Agreement; or (c) your violation of any applicable law or regulation.
10. Term and Termination
This Agreement is effective as of the date you first access or use the Application and continues until terminated. The Company may terminate this Agreement and your access to the Application at any time, for any reason, with or without notice. Upon termination, all rights granted to you under this Agreement shall immediately cease, and you must discontinue all use of the Application.
11. Modifications
The Company reserves the right to modify this Agreement at any time. Any changes will be effective upon posting of the revised Agreement. Your continued use of the Application after any such changes constitutes your acceptance of the revised Agreement.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of laws provisions. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Delaware County, Indiana, and you consent to the personal jurisdiction of such courts.
13. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
This Agreement constitutes the entire agreement between you and the Company with respect to the Application and supersedes all prior or contemporaneous communications, whether oral or written, regarding the subject matter hereof.
